On June 26, Zijin Mining shareholders approved several strategic initiatives at meetings held at the company’s Xiamen office. These included the spin-off and listing of its subsidiary, Zijin Gold International, on the Hong Kong Stock Exchange and the framework for its 2025 Employee Stock Ownership Plan.
The meetings were chaired by Chairman Chen Jinghe and consisted of the first Extraordinary General Meeting of 2025 and the second A-Share and H-Share General Meetings of 2025.
Amid global inflation and geopolitical risks, gold has become a prominent safe-haven asset with prices reaching historic highs. In response, Zijin Mining plans to restructure its overseas gold mines under Zijin Gold International. This move aims to expand their international reach in gold mining and list them on the Hong Kong Stock Exchange. The restructuring is expected to capitalize on favorable industry conditions while offering investors opportunities from revalued gold assets.
Post-listing, Zijin Mining will maintain a controlling interest in Zijin Gold International. The subsidiary’s financials will be part of the parent company’s consolidated statements. This spin-off will allow Zijin Gold International to function as an independent financing platform, attracting capital market resources for global investment in gold assets. It will enable both companies to focus on core businesses, enhance growth potential, improve investment capabilities, and increase market competitiveness.
Zijin Mining has expanded rapidly over five years through strategic acquisitions supported by its expertise in complex deals. By leveraging exploration expertise and low-cost project development capabilities along with strong ESG governance systems, they have grown their resource base efficiently.
By late 2024, Zijin Mining ranked second globally with 110 million tonnes of copper resources and fifth with 3,973 tonnes of gold resources. They produced 1.07 million tonnes of mined copper (fourth globally) and 73 tonnes of mined gold (sixth globally). Building on these strengths, Zijin Gold International aims to deepen its focus on international markets.
In addition to these plans for expansion via listing efforts abroad or employee ownership programs like ESOPs designed specifically around shareholder protection interests – fostering robust mechanisms shared among employees/shareholders alike – resolutions were passed authorizing board administration matters related thereto during general meeting sessions attended personally key stakeholders such as directors/supervisors/executives alongside representatives from financial intermediaries plus smaller mid-sized shareholders present too throughout proceedings overall thereby ensuring alignment between all parties involved going forward together collaboratively toward common goals collectively achieved ultimately benefiting everyone concerned equally well without exception
